Form S-1 under the Securities Act is
used by issuers who are not eligible to use other forms to register
offering of their securities.
The Commission requests
an emergency extension for the following information collection
because the amendments to these information collections were
required to make them consistent with the provisions of the newly
enacted FAST Act. The Commission, for good cause, found that notice
and comment were unnecessary because the amendments merely conform
the information collections to the requirements of the FAST Act,
and also found that there was good cause for the amendments to take
effect on January 19, 2016, due to the Congressional request to
adopt the amendments within 45 days of the enactment of the FAST
Act.
In Release No. 33-10003, the
Securities and Exchange Commission adopted interim final rule and
form amendments to implement Sections 71003 and 84001 of the FAST
Act. These amendments permit emerging growth companies to omit
certain historical period financial information in Form S-1 and
allow smaller reporting companies to use forward incorporation by
reference on Form S-1. The decrease of 68,773 in burden hours and
the decrease in cost burden of $82,527,996 is due to the reduced
disclosure requirements for emerging growth companies and smaller
reporting companies.
