Form N-54C is necessary so that a
company may notify the Commission that it no longer elects to be
regulated as a business development company under the Investment
Company Act of 1940.

The decrease in estimated
burden hours for Form N-54C is attributable to a decrease in the
estimated number of respondents from 10 to three, resulting in a
decrease of seven hours. There is no change in the estimated cost
burden for outside professionals associated with the collection of
data relating to Form N-54C because the Commission continues to
estimate that there is no cost burden associated with this
requirement.
