Rule 510T of Regulation D, issuers
conducting an offering in reliance on Rule 506(c) would be
required, on a temporary basis, to submit to the Commission any
written general solicitation materials prepared by or on behalf of
the issuer and used in connection with the Rule 506(c) offering.
Also, Rule 509 of Regulation D, issuers would be required to
include a number of legends and other disclosures in written
general solicitation materials use din Rule 506(c)
offerings.
