Form 8-K is filed by issuers to
satisfy their current reporting obligations pursuant to Sections 13
and 15(d) of the Exchange Act in connection with the occurrence of
significant corporate events.
The changes in the annual
burden of Form 8-K relate to new disclosure requirements about mine
safety matters. These disclosure requirements implement Section
1503 of the Dodd-Frank Act, which requires filing of a Form 8-K
disclosing receipt of specified mine safety and health orders and
notices. The change in burden for Form 8-K corresponds to the new
disclosure requirements. We estimate the new rules will result in
an increase of 600 burden hours and an increase in the cost burden
of $80,000 for services of outside professionals.
