Abstract: Form 5 is an annual statement of beneficial ownership used by officers, directors and ten percent shareholders of companies with securities registered under Section 12 of the Securities Exchange Act of 1934.

Emergency Justfication: The proposed changes in connection with Proposed Release 33-8982 are not being adopted by the Commission at this time. Based on this information, the agency needs to request approval for the current collection. The 60 day FR notice will be published in the next 3-5 working days.
