Form N-2 is the registration statement
used by closed-end management investment companies, except small
business investment companies and insurance company separate
accounts, to register under the Investment Company Act of 1940 and
to register their securities under the Securities Act of 1933. The
SEC uses the information filed in registration statements to verify
compliance with the federal securities laws.
The proposed amendments in
Release No. 33-9070 would require disclosure regarding credit
ratings used in connection with a registered offering. The increase
in the burden associated with Form N-2 is necessary in order to
provide investors with a more meaningful and comprehensive
understanding of credit ratings, which should help investors make
more informed investment decisions. The proposal would result in an
increase of 82 burden hours and an increase in the cost burden of
$98,400 for services of outside professionals. For a more detailed
