Schedule 14C is filed by issuers of
securities that are registered under Section 12 of the Securities
Exchange Act of 1934 in connection with a consent
solicitation.
The proposals in Release No.
33-9073 would allow the inclusion of explanatory materials with the
Notice. The increase in the burden associated with Regulation 14C
is necessary in order to permit the inclusion of materials to
improve the notice and access model for furnishing proxy materials
to shareholders. We estimate the proposal will result in an
increase of 255 burden hours and an increase in the cost burden of
$34,000 for services of outside professionals. For a more detailed
discussion, please refer to the supporting statement.
