Rule 6a-1 states that the Commission
may not grant registration to an exchange as a national securities
exchange unless it finds, among other things, that the exchange is
organized so that it has the capacity to carry out the purposes and
to comply with the Exchange Act. Form 1 is necessary because it
requires the information needed by the Commission to determine
whether granting registration to an exchange would be
appropriate.
