Rule 10f-3 permits, under certain
conditions, purchases of securities from underwriting syndicates
whose members include affiliated persons of the purchasing
investment company. The rule requires boards of directors to
establish procedures to ensure compliance with the rule. These
procedures, which must be revised as required, and records
concerning transactions in reliance on the rule and board reviews
of these transactions, must be maintained.
