This class exemption exempts from the
prohibited transaction provisions of ERISA certain transactions
involving an employee benefit plan's purchase of securities which
may aid the issuer of the securities to reduce or retire
indebtedness to a party in interest.
On behalf of this Federal agency, I certify that
