RULE 24B-1 WAS ADOPTED IN 1934
PURSUANT TO THE PREDECESSOR TO PRESENT SECTION 24 OF THE SECURITIES
EXCHANGE ACT OF 1934 (THE "ACT"), WHICH RELATED TO THE PUBLIC
CHARACTER INFORMATION. THE RULE REQUIRES A NATIONAL SECURITIES
EXCHANGE TO KEEP AND MAKE AVAILABLE FOR PUBLIC INSPECTION A COPY OF
ITS REGISTRATION STATEMENT TOGETHER WITH ANY EXHIBITS FILED WITH
THE COMMISSION, INCLUDING ANY AMENDMENTS THERETO.
