RECEIVED IN AN ARM'S LENGTH TRANSACTION. ITS RECORDKEEPING
REQUIREMENTS AFFORD THE COMMISSION MEANS OF ASCERTAINING WHETHER
REGISTRANTS AND THEIR AFFILIATED BROKERS ARE COMPLYING WITH THE
RULE.
