12 CFR 544.5 AND 552.5 REQUIRE FEDERAL
ASSOCIATIONS TO OBTAIN BANK BOARD APPROVAL OF ANY CHANGE IN ITS
BYLAWS WHICH IS NOT PREAPPROVED BY REGULATION. THE PURPOSE OF THE
BYLAW AMENDMENT APPLICATION IS TO EVALUATE WHETHER THE BYLAW CHANGE
IS JUSTIFIED AND WILL NOT NEGATIVELY IMPACT THE ASSOCIATION OR ITS
MEMBERS.

1320.8(b)(3).
