This information
collection is disapproved because FTC has failed to show that it is
necessary for the proper performance of the functions of the
agency, as required by the Paperwork Reduction Act of 1980. The
submission does not include adequate justification to support
pre-merger notification beyond that required by the
Hart-Scott-Rodino program. In particular, FTC has not sufficiently
justified the special treatment of the food distribution
industries, both for transactions which are covered by
Hart-Scott-Rodino and those which are not. It is not enough to
claim that those transactions "can, and often do, have significant
competitive consequences."
